These Terms of Service (“Terms”) govern your access to and use of the BashDit website, mobile application, related services, messaging tools, vendor/venue matching features, event-planning features, and any other products or services offered by BashDit (collectively, the “Service” or “BashDit Service”).

By accessing, downloading, registering for, or using any part of the BashDit Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

Please read these Terms carefully. Section 20 contains an arbitration agreement, class action waiver, and jury trial waiver that affect your legal rights. Unless you timely opt out as described below, disputes between you and BashDit will generally be resolved through binding arbitration rather than in court.

1. Acceptance of Terms

By using the BashDit Service, creating an account, submitting event details, contacting vendors or venues through the Service, sending invitations, receiving invitations, accepting an invitation, purchasing any paid feature, or otherwise using any BashDit feature, you agree to these Terms and any additional policies, rules, or guidelines posted within the Service.

These Terms, together with our Privacy Policy and any other posted policies, form the entire agreement between you and BashDit regarding your use of the Service.

2. Description of the BashDit Service

BashDit is an event-planning and party-matching platform that may allow users to:

• create party or event requests;
• answer questions about party type, location, date, time, size, budget, preferences, and other planning details;
• search for venues, vendors, entertainers, planners, services, and event-related options;
• submit event requests to venues or vendors;
• receive responses, approvals, availability, quotes, or other communications from venues or vendors;
• invite guests through the app;
• send invitation links, codes, or event information by text message, email, or other communication methods;
• allow invitees to access event information using a party code or invitation link;
• communicate with hosts, guests, venues, vendors, and other event participants;
• use other event-planning, social, communication, or marketplace-related features that BashDit may provide from time to time.

BashDit may add, remove, modify, or discontinue any feature at any time.

BashDit is not itself a venue, event planner, caterer, entertainer, transportation provider, security provider, rental company, or vendor unless expressly stated in writing. BashDit may help connect users with third-party venues, vendors, or service providers, but BashDit does not guarantee their availability, pricing, quality, safety, performance, legality, insurance coverage, licensing, or suitability.

3. Eligibility

You must be at least 16 years old to register for or use the BashDit Service.

You must be at least 18 years old to purchase paid services, enter into paid transactions, submit vendor or venue requests, or use the Service for business or commercial purposes.

By using the Service, you represent and warrant that:

• you have the right and authority to enter into these Terms;
• you will comply with all applicable laws;
• you are not located in a country or territory subject to U.S. sanctions;
• you are not personally subject to U.S. sanctions or listed on any prohibited-party list; and
• your use of the Service is not prohibited by law.

Parents and guardians should supervise minors when using online services. BashDit is not intended for children under 13.

4. Privacy Policy

Your privacy is important to us. Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy.

By using BashDit, you agree that we may collect and use information as described in our Privacy Policy, including information you provide about yourself, your guests, your event, vendors, venues, and communications through the Service.

If you upload or submit guest names, phone numbers, email addresses, photos, or other personal information, you represent that you have the right and permission to provide that information to BashDit and to use it in connection with your event.

5. Account Registration and Security

Certain features may require you to create an account. You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree not to:

• share your password with another person;
• transfer your account without BashDit’s permission;
• impersonate another person;
• create an account using false information;
• use another person’s account without permission; or
• allow unauthorized access to your account.

You must notify BashDit promptly at bashdit@gmail.com if you believe your account has been accessed without authorization.

6. Event Requests, Vendor Matching, and Venue Matching

BashDit may allow users to submit party or event requests to venues, vendors, or other service providers. You understand and agree that:

• submitting a request does not guarantee acceptance, availability, pricing, or booking;
• vendors and venues may accept, reject, modify, or ignore requests;
• BashDit is not responsible for the acts, omissions, statements, services, pricing, policies, or performance of any third-party vendor or venue;
• any contract, booking, deposit, cancellation, refund, or service arrangement between you and a venue or vendor is between you and that third party unless BashDit expressly states otherwise;
• you are responsible for reviewing all vendor or venue terms before booking;
• you are responsible for determining whether a vendor or venue has appropriate licenses, permits, insurance, safety procedures, and qualifications.

BashDit may display recommendations, matches, suggested vendors, suggested venues, rankings, or availability information, but such information may be based on data supplied by third parties and may not always be accurate, complete, or current.

7. Invitations, Party Codes, and Guest Access

BashDit may allow hosts to invite guests by text message, email, app notification, invitation link, QR code, party code, or other method.

As a host, you are responsible for:

• entering accurate guest contact information;
• obtaining permission to contact guests;
• ensuring your event information is accurate;
• controlling who receives your invitation link, code, or event details;
• updating guests if event details change;
• complying with all applicable laws regarding invitations, communications, promotions, alcohol, age restrictions, and event safety.

Guests may be able to view event details, RSVP, message the host, or access other features. BashDit is not responsible for unauthorized access caused by a host or guest sharing an invitation link, code, screenshot, or event information.

8. Messaging, SMS, and Mobile Communications

BashDit may allow users to send or receive communications by SMS/MMS text message, email, push notification, in-app message, or other communication method.

By providing your phone number or opting in to receive messages, you agree that BashDit may send you event-related messages, account messages, reminders, confirmations, RSVP updates, invitations, and other service-related communications. If you separately consent to marketing messages, BashDit may send promotional or marketing communications.

Message frequency may vary. Standard message and data rates may apply. BashDit is not responsible for delayed, blocked, or undelivered messages.

You may opt out of marketing text messages by replying STOP where supported. You may request help by replying HELP where supported or by emailing bashdit@gmail.com.

If you use BashDit to send messages to guests, vendors, venues, or other recipients, you represent and warrant that:

• you have permission to contact each recipient;
• you will not use BashDit to send spam, unsolicited messages, unlawful messages, harassment, or deceptive communications;
• you will comply with the Telephone Consumer Protection Act, CAN-SPAM Act, and all other applicable federal, state, and local laws;
• you will not upload phone numbers or email addresses without permission;
• you will not use BashDit for unlawful marketing, cold texting, or unauthorized solicitation.

BashDit may suspend or terminate accounts that violate messaging rules.

9. Payments, Paid Features, Subscriptions, and Fees

BashDit may offer paid features, subscriptions, booking tools, promotional placements, vendor tools, premium invitations, guest-list upgrades, event-planning tools, or other paid services.

By purchasing a paid feature, you agree to pay all listed fees, taxes, processing charges, and other amounts shown at checkout.

Unless otherwise stated in writing:

• all fees are charged in U.S. dollars;
• all sales are final;
• fees are non-refundable;
• paid features are personal to the account holder and may not be transferred;
• BashDit may change pricing at any time;
• third-party payment processors may process payments;
• your use of a payment method represents that you are authorized to use it.

If BashDit offers subscriptions, your subscription may automatically renew unless canceled before the renewal date. By providing payment information for a subscription, you authorize BashDit and its payment processors to charge your payment method on a recurring basis until canceled.

Cancellation instructions will be provided in your account settings, purchase flow, app store subscription settings, or other applicable location.

10. User Content and Materials

You are solely responsible for any content you submit, upload, post, transmit, or make available through BashDit, including event descriptions, photos, videos, logos, business information, reviews, messages, guest lists, vendor information, comments, names, and other materials (“User Content”).

By submitting User Content, you represent and warrant that:

• you own or have the necessary rights to submit the User Content;
• the User Content does not violate any law or third-party right;
• the User Content does not infringe copyright, trademark, privacy, publicity, or other rights;
• you have permission from any person shown or identified in the User Content;
• the User Content is not false, misleading, defamatory, obscene, abusive, threatening, hateful, or unlawful.

By submitting User Content, you grant BashDit a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, host, store, reproduce, display, modify, adapt, publish, distribute, transmit, and otherwise use the User Content to operate, improve, promote, and provide the Service.

You understand that BashDit may monitor, remove, reject, or modify User Content at its discretion, but BashDit has no obligation to do so.

11. Prohibited Conduct

You agree not to use BashDit to:

• violate any law, regulation, or third-party right;
• send spam or unsolicited messages;
• harass, threaten, stalk, abuse, impersonate, or harm another person;
• upload or share another person’s private information without permission;
• post photos or videos of others without consent;
• harm minors in any way;
• post sexual, pornographic, exploitative, abusive, hateful, violent, or illegal content;
• promote illegal activity;
• create fake events, fake vendors, fake venues, fake RSVPs, or fake reviews;
• misrepresent your identity, affiliation, event, venue, vendor, pricing, availability, or services;
• scrape, crawl, index, data mine, or copy the Service;
• reverse engineer or attempt to access source code;
• interfere with the Service or its servers;
• attempt unauthorized access to accounts, systems, or networks;
• upload malware, spyware, viruses, or harmful code;
• use the Service for fraudulent transactions;
• use BashDit in a way that could damage BashDit, users, guests, vendors, venues, or third parties.

BashDit may suspend, restrict, or terminate any account or access to the Service if we believe these Terms have been violated.

12. Third-Party Vendors, Venues, Links, and Services

The Service may contain links to third-party websites, apps, vendors, venues, payment processors, social media platforms, maps, messaging providers, or other services.

BashDit does not control and is not responsible for third-party services, websites, products, content, policies, pricing, availability, safety, or actions.

Your use of third-party services is governed by the third party’s own terms and privacy policies.

13. Intellectual Property

The BashDit name, logo, designs, text, software, graphics, interfaces, features, code, icons, images, and other materials are owned by BashDit or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

You may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, create derivative works from, or exploit any part of the Service without BashDit’s prior written permission.

Nothing in these Terms grants you ownership of BashDit intellectual property.

14. Copyright Complaints

If you believe material on BashDit infringes your copyright, please send a notice to:

Your notice should include:

• your physical or electronic signature;
• identification of the copyrighted work claimed to be infringed;
• identification of the material claimed to be infringing;
• your name, address, phone number, and email;
• a statement that you have a good-faith belief the disputed use is not authorized;
• a statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

15. App Store Terms

If you download BashDit through the Apple App Store, Google Play Store, or another app marketplace, your use may also be subject to that store’s terms and policies.

If you access BashDit through an Apple device, you acknowledge that these Terms are between you and BashDit, not Apple. Apple is not responsible for BashDit, support, maintenance, claims, or warranties related to the Service, except as required by applicable law.

16. Beta Features

BashDit may offer features labeled beta, test, preview, early access, or similar. These features may be incomplete, unreliable, changed, suspended, or removed at any time.

You use beta features at your own risk.

17. Disclaimer of Warranties

THE BASHDIT SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, BASHDIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

BashDit does not guarantee that:

• the Service will always be available;
• the Service will be uninterrupted or error-free;
• event information will be accurate;
• vendors or venues will respond;
• vendors or venues will perform as expected;
• invitations or messages will be delivered;
• events will be safe, lawful, successful, or satisfactory;
• defects will be corrected.

You use the Service at your own risk.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BASHDIT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, EVENT CANCELLATION, VENDOR FAILURE, VENUE FAILURE, PERSONAL INJURY, PROPERTY DAMAGE, OR UNAUTHORIZED ACCESS, EVEN IF BASHDIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, BASHDIT’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. the amount you paid to BashDit for the transaction giving rise to the claim; or
2. one hundred dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

19. Indemnification

You agree to defend, indemnify, and hold harmless BashDit, its owners, officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, costs, expenses, and attorneys’ fees arising from:

• your use of the Service;
• your event;
• your User Content;
• your violation of these Terms;
• your violation of any law;
• your violation of any third-party right;
• your communications with guests, vendors, venues, or other users;
• your upload or use of phone numbers, email addresses, photos, or personal information;
• your dealings with any vendor, venue, guest, or third party.

BashDit reserves the right to assume the exclusive defense and control of any matter subject to indemnification.

20. Arbitration Agreement, Class Action Waiver, and Jury Trial Waiver

If you are a U.S. resident, you and BashDit agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your account, your event, your communications, your purchases, or your relationship with BashDit will be resolved by binding arbitration rather than in court, except that:

• either party may bring qualifying claims in small claims court;
• either party may seek injunctive or equitable relief in court for intellectual property misuse or infringement.

Informal Dispute Resolution

Before starting arbitration, you and BashDit agree to attempt to resolve the dispute informally.

Your notice must include:

• your name;

• mailing address;
• email address associated with your account;
• a description of the dispute;
• the specific relief requested.

The parties agree to participate in good faith informal dispute resolution for 45 days before either party files arbitration, unless both parties agree otherwise.

Arbitration Rules

If the dispute is not resolved informally, either party may begin arbitration. Arbitration will be administered by National Arbitration & Mediation (“NAM”) or another mutually agreed arbitration provider if NAM is unavailable.

The arbitration will be conducted in the county where you reside unless the parties agree otherwise or the arbitrator allows remote proceedings.

The arbitrator will have authority to resolve the dispute, grant relief, and issue a final and binding award.

Jury Trial Waiver

YOU AND BASHDIT WAIVE ANY RIGHT TO A JURY TRIAL.

Class Action Waiver

YOU AND BASHDIT AGREE THAT CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR CLASS-WIDE ARBITRATION.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual claim.

30-Day Right to Opt Out

You may opt out of this arbitration agreement by sending written notice to bashdit@gmail.com within 30 days after you first become subject to this arbitration agreement.

Your opt-out notice must include your name, mailing address, email address associated with your account, and a clear statement that you want to opt out of the arbitration agreement.

Opting out of arbitration does not affect the rest of these Terms.
